About Oraion

Oraion is your single source of truth for enterprise data. We use agentic AI to help businesses uncover non-obvious insights from structured and unstructured data instantly. These Terms govern your access to and use of our services (“Services”).
By accessing or using the Services, you agree to be bound by these Terms.

Use of Services

You agree to use the Services only in accordance with applicable laws and these Terms. You may not:

• Use the Services for any unlawful, harmful, or abusive purpose

• Reverse-engineer or interfere with the Services’ operations

• Attempt unauthorized access to our systems or data
  We reserve the right to suspend access if we detect behavior that threatens the integrity or security of our platform.

If you have entered into a separate written agreement with Oraion governing your use of the Services, that agreement shall control in the event of any conflict with these Terms.

Legal Bases for Processing

Oraion processes personal data under the following legal bases:

• Performance of a contract

• Legitimate interest

• Compliance with legal obligations

• Consent (where explicitly obtained)

We maintain a Record of Processing Activities (RoPA) as required under GDPR and evaluate our legal bases on a recurring basis.

Your Account & Responsibilities

If the Services require account creation, you are responsible for maintaining the confidentiality of your login credentials and all activity under your account. Notify us immediately of any unauthorized use.

Intellectual Property

All intellectual property rights in the Services—including software, interfaces, and content—belong to Oraion or its licensors. You may not copy, modify, distribute, or create derivative works from our Services without our written permission.

Customer Data & Outputs

As between the parties, you retain all right, title, and interest in the data you submit to the Services (“Customer Data”). Subject to these Terms, Oraion may process Customer Data solely to provide and improve the Services.

Unless otherwise agreed in writing, Oraion retains all rights in the Services and underlying models. You own the outputs generated specifically for you by the Services, excluding any underlying models, algorithms, or general learnings.

Confidentiality

Any non-public information exchanged during your use of the Services or communications with Oraion will be considered confidential, and both parties agree to handle it with care. Use of the Services does not grant access to Oraion’s proprietary systems or internal data beyond what is expressly provided.

Data & Privacy

Your use of the Services is subject to our Privacy Policy and Information Security Policy. We are SOC 2 Type II certified and committed to responsible data practices, including encryption in transit and at rest.

Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind. We do not guarantee that the Services will be uninterrupted, secure, or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose.

Limitation of Liability

To the maximum extent permitted by law, Oraion shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising out of your use of the Services shall not exceed the fees paid by you (if any) in the twelve (12) months prior to the event giving rise to the claim.

Termination

We may suspend or terminate your access to the Services with thirty (30) days’ prior written notice, or immediately in the case of a material breach of these Terms. We also reserve the right to temporarily suspend access to protect the security or stability of the platform.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use of the Services after such notice constitutes your acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes will be resolved in the courts of Delaware.
